Terms of Service

By accessing the SINOQI website at sinoqidecor.com, submitting a quote request form, communicating with our sales team, signing a purchase contract, or otherwise engaging in any commercial transaction with SINOQI, you ("Buyer," "Client," or "You") expressly agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and any additional terms referenced herein or communicated in writing.

These Terms apply to all visitors, registered users, inquirers, and purchasing entities who access or use our services. If you are acting on behalf of a company or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms.

SINOQI reserves the right to refuse service to any party at its sole discretion without obligation to provide a reason.

SINOQI operates exclusively as a Business-to-Business (B2B) international trade company. Our products and services are intended solely for commercial buyers, including but not limited to: regional distributors, building material wholesalers, project contractors, developers, and licensed trade professionals.

To engage with SINOQI's services, you must:

• Be at least 18 years of age or the legal age of majority in your jurisdiction.
• Be a legally registered business entity or a duly authorized representative thereof.
• Have the legal capacity to enter into binding commercial contracts in your country of operation.
• Not be subject to any trade sanctions, export restrictions, or legal prohibitions that would prevent commercial dealings with Chinese entities.

SINOQI does not sell directly to individual consumers (end-users). Any attempt to misrepresent commercial status to obtain goods for personal use is a material breach of these Terms.

All product descriptions, technical specifications, dimensions, colors, textures, and performance ratings published on sinoqidecor.com or provided in catalogs, datasheets, or quotations are provided in good faith and are subject to change without prior notice due to manufacturing updates, raw material variations, or regulatory requirements.

Color & Texture Variance: Due to the nature of UV printing and manufacturing processes, minor variations in color tone, texture pattern, and surface finish between product samples and bulk production batches are considered acceptable and do not constitute a product defect, unless they exceed the tolerances specified in the signed Contract.

Dimensional Tolerances: Panel dimensions (length, width, thickness) are subject to standard manufacturing tolerances of ±2% unless otherwise specified in the purchase contract.

Product Updates: SINOQI reserves the right to update, discontinue, or modify product lines at any time. Buyers will be notified of material changes affecting confirmed orders.

Samples: Physical samples may be requested prior to placing a bulk order. Sample fees and shipping costs are borne by the Buyer unless otherwise agreed in writing. Approved samples serve as the quality benchmark for the corresponding production batch.

Inquiry Process: All orders begin with a formal inquiry submitted via our website contact form, email, or direct communication with our sales team. Inquiries are not binding commitments and do not constitute an order.

Quotation Validity: Quotations (proforma invoices) issued by SINOQI are valid for 30 calendar days from the date of issuance, unless otherwise stated. Prices quoted are subject to change after the validity period expires, particularly in response to fluctuations in raw material costs, exchange rates, or shipping tariffs.

Order Confirmation: An order is considered confirmed only upon: (a) the Buyer's written acceptance of the proforma invoice; and (b) receipt of the agreed deposit payment by SINOQI. SINOQI reserves the right to reject any order at its sole discretion.

Minimum Order Quantity (MOQ): SINOQI's standard MOQ is one Full Container Load (FCL). Exceptions for smaller quantities (LCL) may be considered on a case-by-case basis and will be reflected in adjusted pricing.

Order Cancellation: Once an order is confirmed and production has commenced, cancellation by the Buyer may result in forfeiture of the deposit and liability for costs incurred up to the point of cancellation. Cancellation requests must be submitted in writing and are subject to SINOQI's approval.

Currency: All prices are quoted in United States Dollars (USD) unless otherwise specified in writing. SINOQI is not responsible for exchange rate fluctuations affecting the Buyer's local currency.

Standard Payment Terms: The standard payment structure is 30% deposit upon order confirmation, with the remaining 70% balance payable before the release of the Bill of Lading (B/L) or as otherwise agreed in the signed Contract.

Payment Methods: Accepted payment methods include Telegraphic Transfer (T/T / Wire Transfer), Letter of Credit (L/C) from a reputable bank (subject to prior approval), and other methods as mutually agreed in writing. Bank charges and transfer fees are the sole responsibility of the Buyer.

Late Payment: Failure to remit payment by the agreed due date may result in: (a) suspension of production or shipment; (b) forfeiture of reserved production capacity; and/or (c) interest charges on overdue amounts at a rate of 1.5% per month, or the maximum rate permitted by applicable law, whichever is lower.

Taxes & Import Duties: All quoted prices are exclusive of import duties, customs fees, VAT, local taxes, and any other charges levied by the Buyer's country. The Buyer is solely responsible for all such costs and for compliance with local import regulations.

Price Transparency: SINOQI is committed to transparent cost modeling. Detailed cost breakdowns may be shared with qualified Buyers during negotiation to facilitate informed purchasing decisions and healthy project margins.

Incoterms: Unless otherwise agreed in writing, all shipments are made on FOB (Free On Board) Ningbo/Shanghai terms. Risk of loss and damage transfers to the Buyer once goods are loaded onto the vessel at the port of origin.

Shipping Arrangements: SINOQI can assist in coordinating freight forwarding, customs documentation, and logistics support. However, the Buyer retains responsibility for import clearance, destination port charges, and inland delivery in their country.

Lead Times: Standard production and shipping lead times are 25-45 business days from receipt of confirmed deposit, depending on product type, order volume, and customization requirements. Lead times communicated are estimates and are not guaranteed delivery dates.

Delivery Delays: SINOQI will make reasonable efforts to meet stated lead times. However, SINOQI shall not be held liable for delays caused by: port congestion, vessel schedule changes, customs clearance issues, raw material shortages, force majeure events, or other circumstances beyond our reasonable control.

Shipping Documentation: SINOQI will provide standard export documentation including Commercial Invoice, Packing List, Bill of Lading, Certificate of Origin, and available quality/test certificates. Additional documentation (e.g., phytosanitary certificates, specific compliance reports) must be requested in advance and may incur additional fees.

Cargo Insurance: SINOQI strongly recommends that Buyers arrange adequate cargo insurance for all shipments. SINOQI is not liable for loss or damage occurring during transit unless expressly agreed otherwise in writing.

SINOQI offers comprehensive OEM (Original Equipment Manufacturing) and private-label services, enabling Buyers to market products under their own brand identity. These services are subject to the following conditions:

• Minimum Order: OEM services require a minimum order quantity as specified in the individual quotation, typically one FCL per SKU.
• Design Approval: All custom designs, logos, and packaging artwork must be submitted by the Buyer in print-ready format. The Buyer is solely responsible for ensuring their branding does not infringe any third-party intellectual property rights.
• Tooling & Setup Fees: Custom mold creation, color matching, or special tooling may incur non-refundable setup fees, which will be itemized in the quotation.
• Source Confidentiality: SINOQI commits to maintaining strict confidentiality regarding the identity of our Zhejiang Base manufacturing partner. We will not disclose factory details to the Buyer's end-customers or third parties without express written consent.
• Non-Circumvention: SINOQI will never contact the Buyer's end-customers, distribution partners, or market contacts directly for commercial purposes without the Buyer's explicit written authorization.

SINOQI is committed to delivering products that meet agreed specifications and quality standards. Our quality control process includes:

• In-factory inspection at the Zhejiang Base prior to shipment, covering dimensions, surface quality, color consistency, and structural integrity.
• Provision of fire-retardant test reports and other applicable compliance certificates for qualifying products.
• Pre-shipment photo and video documentation available upon request.

Third-Party Inspection: Buyers may arrange for third-party inspection by an internationally recognized inspection company (e.g., SGS, Bureau Veritas, Intertek) at the Buyer's expense. Inspection must be scheduled with at least 7 business days' notice and coordinated through SINOQI's sales team.

Acceptance of Goods: Goods are deemed accepted by the Buyer if no written quality complaint is received within 14 calendar days of the vessel's arrival at the destination port, supported by photographic evidence and an independent inspection report.

Limited Warranty: SINOQI warrants that products delivered will materially conform to the agreed specifications at the time of shipment. This warranty covers manufacturing defects identified within 12 months of the shipment date.

Warranty Exclusions: The warranty does not cover defects or damage arising from: improper installation, storage, or handling; use outside the product's intended application; exposure to conditions exceeding specified ratings; modifications made by the Buyer or third parties; normal wear and tear; or damage caused during transit after risk has passed to the Buyer.

Claims Process: Warranty claims must be submitted in writing to SINOQI's designated contact within the warranty period, accompanied by: (a) photographic evidence of the defect; (b) a detailed description of the issue; (c) the original order reference number; and (d) an independent third-party inspection report where applicable.

Remedies: Upon validation of a legitimate warranty claim, SINOQI's sole obligation shall be, at its discretion: (a) replacement of defective goods in a subsequent shipment; (b) issuance of a credit note applicable to future orders; or (c) a partial refund proportional to the defective quantity. Return shipments to China are not accepted unless expressly authorized in writing by SINOQI.

No Returns Policy: Due to the nature of bulk international trade, returns of goods that conform to agreed specifications are not accepted. All sales are final once the goods have been shipped.

All content on sinoqidecor.com, including but not limited to: the SINOQI brand name and logo, product photographs, technical datasheets, catalog designs, marketing materials, website copy, and proprietary manufacturing processes, are the exclusive intellectual property of SINOQI (Catherine Chen) and are protected under applicable Chinese and international intellectual property laws.

Buyers are granted a limited, non-exclusive, non-transferable license to use SINOQI's provided marketing materials solely for the purpose of promoting and selling SINOQI-branded or OEM products purchased from SINOQI within their authorized territory.

Buyers must not: reproduce, redistribute, reverse-engineer, or create derivative works from SINOQI's proprietary materials; use the SINOQI name or logo in a manner that implies endorsement beyond the commercial relationship; or register trademarks confusingly similar to SINOQI's brand identifiers in any jurisdiction.

For OEM orders, the Buyer retains ownership of their submitted brand assets (logos, artwork). The Buyer warrants that all submitted materials are original and do not infringe any third-party rights, and indemnifies SINOQI against any claims arising from the Buyer's brand assets.

Both parties agree to maintain in strict confidence all non-public information disclosed during the course of their commercial relationship, including but not limited to: pricing structures, cost models, manufacturing processes, customer lists, market strategies, product development plans, and trade secrets ("Confidential Information").

SINOQI's Commitments: SINOQI will not disclose the identity of the Buyer's customers, end-users, or business partners to any third party. SINOQI will not use the Buyer's Confidential Information for any purpose other than fulfilling the commercial relationship. SINOQI will not approach or solicit the Buyer's end-customers directly.

Buyer's Commitments: The Buyer agrees not to disclose SINOQI's pricing, cost models, factory details, or supply chain information to competitors or third parties without SINOQI's prior written consent.

Confidentiality obligations survive the termination of the commercial relationship for a period of 3 years, unless a separate Non-Disclosure Agreement (NDA) specifies a longer duration.

To the maximum extent permitted by applicable law, SINOQI's total aggregate liability to the Buyer for any claim arising out of or relating to these Terms, any Contract, or the supply of products shall not exceed the total value of the specific order giving rise to the claim.

SINOQI shall not be liable for any: indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, or anticipated savings; loss of business opportunity or goodwill; or damages arising from the Buyer's use or resale of the products in their local market.

Disclaimer of Warranties: Except as expressly stated in Section 10, SINOQI makes no representations or warranties, express or implied, regarding the products' suitability for any specific application, local building code compliance in the Buyer's jurisdiction, or fitness for a particular purpose beyond the stated product specifications.

Buyer's Responsibility: The Buyer is solely responsible for verifying that SINOQI's products comply with all applicable building codes, safety regulations, import standards, and certification requirements in their country of operation before placing an order.

SINOQI conducts all business in compliance with applicable Chinese laws and international trade regulations, including export control laws of the People's Republic of China.

Buyer's Compliance Obligations: The Buyer represents and warrants that: (a) it will comply with all applicable import, customs, trade, and regulatory laws in its country of operation; (b) it will not re-export SINOQI's products to any country, entity, or individual subject to international trade sanctions or embargoes; and (c) it holds all necessary licenses, permits, and authorizations required to import and sell SINOQI's products in its market.

Fire & Safety Certifications: SINOQI provides fire-retardant test reports and available compliance documentation for qualifying products. However, the Buyer is responsible for determining whether such certifications satisfy the specific regulatory requirements of their local market and for obtaining any additional local certifications required.

SINOQI shall not be liable for any losses, fines, or penalties incurred by the Buyer as a result of the Buyer's failure to comply with applicable local laws and regulations.

SINOQI collects and processes personal and business data provided by Buyers (such as name, company name, email address, phone number, and country) solely for the purposes of: responding to inquiries, processing orders, managing the commercial relationship, and improving our services.

SINOQI does not sell, rent, or share Buyer data with unaffiliated third parties for marketing purposes. Data may be shared with trusted logistics partners, freight forwarders, and banking institutions strictly as necessary to fulfill orders.

SINOQI retains business records in accordance with Chinese accounting and commercial law requirements. Buyers may request access to, correction of, or deletion of their personal data by contacting SINOQI directly, subject to applicable legal retention obligations.

By engaging with SINOQI, Buyers consent to the cross-border transfer and processing of their data in the People's Republic of China in accordance with applicable data protection laws.

Governing Law: These Terms and all commercial relationships between SINOQI and the Buyer shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict of law principles.

Amicable Resolution: In the event of any dispute, claim, or controversy arising from or relating to these Terms or any Contract, the parties shall first attempt to resolve the matter through good-faith negotiation within 30 calendar days of written notice from either party.

Arbitration: If the dispute cannot be resolved through negotiation, it shall be finally settled by arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its arbitration rules. The arbitration shall be conducted in Chinese, with the seat of arbitration in Hangzhou, China. The arbitral award shall be final and binding on both parties.

Nothing in this section prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm.

Neither party shall be liable for any delay or failure to perform its obligations under these Terms or any Contract to the extent such delay or failure is caused by circumstances beyond that party's reasonable control, including but not limited to: acts of God, natural disasters, pandemics or epidemics, war, civil unrest, government actions, trade embargoes, port strikes, major shipping disruptions, raw material shortages, or power outages ("Force Majeure Event").

The affected party must provide written notice to the other party as soon as reasonably practicable after the Force Majeure Event occurs, describing the nature of the event and its anticipated duration. Both parties shall use reasonable efforts to mitigate the impact of the Force Majeure Event.

If a Force Majeure Event continues for more than 90 calendar days, either party may terminate the affected order by written notice, with the Buyer entitled to a refund of any deposit paid for unproduced goods, less any costs reasonably incurred by SINOQI up to the date of termination.

SINOQI reserves the right to update, modify, or replace these Terms of Service at any time at its sole discretion. When material changes are made, SINOQI will update the "Effective Date" at the top of this page and, where reasonably practicable, notify active Buyers via email or through a notice on sinoqidecor.com.

Your continued use of SINOQI's website or services, or your placement of a new order after any changes to these Terms have been posted, constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.

Changes to these Terms do not affect orders that have already been confirmed and are in production at the time the changes take effect, unless required by law.
